Overview

Blacklands Belle makes and sells quality Keepsakes and Memorial jewellery. We intend to expand its reach for recognition and sales; the Brand Ambassador is a recognized personality and in a position of influence providing reviews and advocating on our behalf online by sharing pre approved content.

The Parties agree and acknowledge that the Brand Ambassador shall perform promotion services in connection with Company through their social media channels, including but not limited to Twitter, Facebook, Instagram, YouTube, Pinterest, among others.

Product Use and Ownership

The Brand Ambassador shall be provided products by the Company at the expense of postage

for the benefit of the Brand Ambassador. The Brand Ambassador agrees that in such provision of products, the Brand Ambassador can not, and may not subject the products provided for resale. Blacklands Belle will from time to time create more item(s) for the Brand Ambassador to have and use/test. Any discussions about new content is strictly confidential.

Should the Brand Ambassador decide to discontinue the use, return, or sell the products, the Brand Ambassador shall notify the Company and seek consent prior to such action.

Confidentiality

The Brand Ambassador in this Agreement may not disclose to any third party, the development of the works engaged by Blacklands Belle without written consent. Neither Party may sell, nor disclose with any third party any proprietary or confidential information acquired by them in the course of their engagement with the other, without the written consent of the other party.

The Brand Ambassador will be asked to share promotional codes linked to them and this will allow Blacklands Belle to monitor the success of failure of the brand ambassador program.

The aim for the 2021 season is to reach 15000 followers on Facebook & Instagram. Promotional templates will be provided for the Brand Ambassador to use. The brand Ambassador agrees to post and share in a timely manner and understands that failure to do so will result in the termination of this contract.

The Brand Ambassador agrees to return to Company all confidential documents, records, or any information owned by the company upon the termination of the Agreement. In case of failure to return the confidential documents, records, or information, the Brand Ambassador shall notify the Company and shall agree on how such information shall be disposed or returned to the Company.

Blacklands Belle will never ask you to dispose of the personal jewellery that has been provided to you as it contains the personal items you sent to us. You are highly unlikely to be offered the opportunity to be a part of the design process during the first year of your journey with us.

If you do become more involved at a later date you may be sent design ideas via email or post.

Period and Termination

This Contract shall remain effective and enforceable for a period of 6 months, beginning on the date of effectivity of this agreement, unless prematurely terminated by either party.

Should any party decide to terminate this Agreement prior the date of maturity, the party shall notify the other at least thirty (30) days prior the termination date.

Representations and Warranties

Representations and Warranties: The Company acknowledges and understands that:

1. Brand Ambassador has the unrestricted right and authority to perform the duties and deliverables that conform to this Agreement.
2. The work of the Brand Ambassador will not contain defamatory, disparaging or offensive content to any product or business, or be involved in anything illegal or be contrary to any religious beliefs.

Agreement Modification

No modification or alteration of this contract shall be considered as having been made unless otherwise executed in writing and duly signed by the parties hereto.
